SYLLABUS

REQUIRED READING:

• Raising Capital, Third Edition by Andrew J. Sherman (AMACOM, April 2012) • Harvesting Intangible Assets: Uncover Hidden Revenue In Your Company’s Intellectual Property by Andrew J. Sherman (AMACOM, October 2011)

COURSE FOCUS:

This course will focus on various entrepreneurial finance and growth strategies, including venture capital and private equity using a combination of lectures, guest speakers and supplemental materials. Our focus will be on the capital formation process as well as the venture capital investment process. We will also examine the ways in which venture capital and private equity firms provide capital to help early-stage as well as established medium-sized firms grow and restructure. The course will focus on how financial, legal, and economic issues are dealt with in the transactional documents between sources of capital and the growing companies in which they invest.

GRADING: (a) Fifty percent (50%) of the final grade will be based on the preparation of a twenty (20) to twenty-five (25) page paper, with thirty-five percent (35%) being allocated to the written paper and fifteen percent (15%) to an oral presentation of the paper by a working group of two to four students on May 7, 2013. Paper topics will be discussed in greater detail on February 5, 2013, the second week of the semester.

(b) Forty percent (40%) of the final grade will be based upon a take home mid-term to be distributed on March 12, 2013 and due April 2, 2013.

(c) The remaining ten percent (10%) of the final grade will be based on class participation. All students are encouraged to actively participate in class discussion.
